Распространение сертификатов новых акций среди уже существующих акционеров компании вследствие накопления прибылей в ее резервных фондах. Таким образом, по своей сути это процесс конвертации денег, накопленных в резервных фондах компании, в выпущенный акционерный капитал. Акционеры получают новые акции бесплатно, причем их благосостояние при этом не возрастает. Дело в том, что при бонусной эмиссии, например, 1 к 3 акционер получает на каждые три имеющиеся у него акции одну новую. Это автоматически снижает цену акций на 25 %, что является удовлетворением желания акционеров владеть более дешевыми по сравнению с “тяжелыми” (heavy shares) акциями. Кроме того, растут надежды акционеров на то, что цена акций постепенно достигнет прежнего уровня, что, разумеется, увеличит их благосостояние на 25 %. В США бонусная эмиссия известна под названием “расщепление ценных бумаг” (stock split).
